These Terms of Use ("Terms") govern your access to and use of vivsuite.com (this "Site"), operated by VivSoft, LLC ("VivSuite," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms apply only to this marketing website. They do not govern your use of the VivSuite product (app.vivsuite.com) or any of its individual apps (V Time, V Forms, V Planner, V Pipeline, V Project, V Contacts) once you have an account — that use is governed by the separate agreement provided to you at sign-up. See also our Privacy Policy, which describes how we handle information collected through this Site.
1. Eligibility
This Site is intended for business visitors evaluating VivSuite's products. By using the Site, you represent that you are at least 18 years old and capable of entering into a binding agreement.
2. Use of the Site
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own informational and business evaluation purposes. You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to the Site, its systems, or related networks
- Interfere with or disrupt the Site's operation (including via malware, scraping at scale, or denial-of-service activity)
- Copy, reproduce, or republish substantial portions of the Site without our prior written permission
- Submit false, misleading, or fraudulent information through the contact form
We may suspend or restrict your access to the Site at any time, for any reason, without notice.
3. Intellectual Property
The Site and its content — including text, graphics, logos, the VivSuite name and marks, product names (V Time, V Forms, V Planner, V Pipeline, V Project, V Contacts), and the underlying code and design — are owned by VivSoft, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.
4. Your Submissions
When you submit information through the contact form (your name, email, company, and message), you grant us the right to use that information to respond to your inquiry and for the business purposes described in our Privacy Policy. Please do not include confidential, proprietary, or sensitive information (such as payment details, passwords, or government ID numbers) in the contact form — it is not designed to collect that information securely.
5. Third-Party Services & Links
This Site uses Web3Forms to process contact form submissions and loads fonts from Google Fonts. It also links to our product at app.vivsuite.com and may link to other third-party websites. We do not control and are not responsible for the content, terms, or privacy practices of any third-party service or site. Your use of those services is at your own risk and subject to their own terms.
6. Disclaimers
The Site and all content on it are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected. Descriptions of VivSuite's products on this Site are for general informational purposes and do not constitute a binding offer or guarantee of features, availability, or pricing.
7. Limitation of Liability
To the fullest extent permitted by law, VivSoft, LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, this Site, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to this Site will not exceed one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
8. Indemnification
You agree to indemnify and hold harmless VivSoft, LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Maryland, and you consent to personal jurisdiction in those courts.
10. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted, and we will update the "Last revised" date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
11. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VivSoft, LLC regarding use of this Site.
